Syllabus:

General principles of meetings - preparation, rules and laws, legality, public and private. Right of assembly, constitutions, standing orders, agendas, committees. The role of the secretary, the chairperson, notice, quorum, proxies, adjournment, rules ofdebate, voting, minutes, defamation. Law and procedure applicable to company meetings especially directors' meetings and general meetings.

Unit Outcomes:

On successful completion of this unit students will have- Understanding of the law and practice of holding different types of meetings relating to different types of business structures and organisations in Australia. Understood the principles of common law and equity as they apply to various types of meetings, and explained the manner in which governing legislation is constantly adding to and amending the principles enunciated in common law. Demonstrated how these principles operate in practical situations. Clarified the complex and technical aspects of the unit. Recognised the social and legal significance of rules, which seek to regulate the conduct of all participants in a meeting environment.
