The scope of corporate governance. External and market controls. Comparative corporate governance. Ethical governance. The board of directors - structure and function, executive, non-executive and independent directors and committees. Risk management and internal controls. Structural and functional assessment. International corporate governance. Corporate governance and due diligence interface.
