Syllabus: The duties and responsibilities of company officers with emphasis on the company secretary. The organic theory of companies. Detailed examination of company constitutions and the process of amendment. The procedure of incorporation. Examination of share capital including issues, transfers, registration, maintenance and classes. Dividend policy. Company meetings. Books. The Australian Securities Commission. The Australian Stock Exchange listing rules.
