Syllabus:The duties and responsibilities of company officers with emphasis on the company secretary. The organic theory of companies. Detailed examination of company constitutions and the process of amendment. The procedure of incorporation. Examination of share capital including issues, transfers, registration, maintenance and classes. Dividend policy. Company meetings. Books. The Australian Securities Commission. The Australian Stock Exchange, listing rules.
 
Unit Outcomes: On successful completion of this unit students will have- Comprehensive understanding of the duties of a company secretary of both public and proprietary companies in terms of modern commercial practice within the confines of the Corporations Act 2001 and related legislations. Understanding of the promotion and formation of companies with reference to the practical aspects of the company secretary and other officers of the company. Gained practical knowledge of the managment and administration of companies through the office of the compny secretary. Practical understanding of the principles of corporate governance. Clarified the complex and technical aspects of company secretarial practice. Recognised the social significance of rules which seek to regulate the conduct of all participants in corporate managment.
